FAIR USAGE POLICY

1. Purpose

This Fair Usage Policy ("Policy") sets out the lawful and permitted use of PrepLadder’s Content Provider Content offered on the PrepLadder Platform and provides an enforcement framework for addressing any violations under this Policy by Learners. The Policy is being laid down to protect the Content Provider Content offered on the PrepLadder Platform, ensure the integrity of the service for the Learners and prevent misuse of the Content Provider Content. This policy shall be effective from 15th December 2025.

2. Definitions

For the purposes of this Policy:

  1. “Registered Device” shall mean any physical hardware (mobile phone, tablet, computer, smart TV, etc.) that has been authenticated to access a Learner’s account and is stored in PrepLadder’s device registry.
  2. “Watch-Hours” shall mean cumulative video playback time attributable to a Learner’s account and it shall be measured against the duration of the subscription purchased by such Learner, unless otherwise stated.
  3. “Authentication Attempts” shall mean an instance where a learner tries to prove its identity to the system, network or application by providing their credentials registered with PrepLadder. Each Learner shall have 5 Authentication Attempts before being flagged for review.
  4. “Other Activities” shall mean any other activities engaged in by the Learner that amounts to misuse of Content Provider Content including but not limited to activities described under sub-clauses 5 and 6 under the heading ‘Your Conduct on the Platform’ under PrepLadder’s Terms of Service.

3. Device Registration & Device Lifecycle

  1. Registered Device Limit: As provided in the Device Access Policy in the PrepLadder Terms of Service, a Learner account may have up to two (2) Registered Devices associated with it. PrepLadder reserves the right to modify this limit at its discretion, and such changes shall be communicated to the Learners.
  2. Device Replacement and Auto-Removal: Registered Devices that have not authenticated to the account for ninety (90) consecutive days may be automatically de-registered by PrepLadder. Such de-registration does not limit PrepLadder’s right to enforce other provisions of this Policy for conduct occurring prior to de-registration.
  3. Device Transfer: Registered Devices are bound to a Learner account and may only be transferred or reassigned with the express written consent of PrepLadder as provided within PrepLadder’s Terms of Service.

4. Watch-Hours Cap & Consumption Controls

  1. Watch-Hours Cap: To prevent mass-sharing and commercial misuse of the Content Creator’s Content, PrepLadder has instituted a cap/limit on the Watch-Hours permitted for each Learner account (“Watch Hours Cap”). The Watch Hours Cap shall be in the following manner:
    1. 4.1.1 The Watch Hours Cap shall be 1000 hours per subscription for each annual subscription or for any subscription having a duration of less than one (1) year.
    2. 4.1.2 The Watch Hours Cap for each subscription exceeding a duration of one (1) year shall be 2000 hours.
    3. 4.1.3 The Watch Hours Cap per day for each subscription shall not exceed 14 hours in a calendar day.

5. Enforcement, Investigation & Procedural Fairness

  1. Triage: Accounts that exceed the Watch Hours Cap and/or engage in repeated failed Authentication Attempts or engage in Other Activities shall be subject to triage and flagged for review and investigation.
  2. Notice of Allegation: Where review indicates any misuse, the Company shall notify the Learner describing the suspected misuse and the Prohibited Conduct engaged in by the Learner.
  3. Learner Response Window: Upon notice, the Learner shall be required to provide a written response and any documents as may be requested by the Company in its notice, as per the timeline communicated by the Company.
  4. Measures & Remedies: Based on the review and investigation, PrepLadder shall determine, if the activities of the Learner amounts to a breach of this Policy and misuse of its Platform. In such a case, PrepLadder shall be within its rights to take any of the following actions, including but not limited to:
    (a) issue a formal warning,
    (b) temporarily suspend the account,
    (c) permanently deactivate the Account,
    (e) device de-registration,
    (f) playback throttling,
    (h) pursue any legal action.
